This agreement covers what you may do with the things Hoodly gives you: the free public market map, and any site-intelligence PDF report you purchase. It sits alongside the Terms of Use — the Terms govern the service, this licence governs the material. Where the two overlap, this licence is the more specific statement about the material and controls.
Hoodly is operated by Wannanap Labs, Ontario, Canada. By using the map or purchasing a report you accept this licence.
On payment for a report, you receive a perpetual, worldwide, non-exclusive, non-transferable licence to use that report for your own business purposes. The licence covers the specific report you bought — one address, generated at one point in time. It does not entitle you to future re-runs of that address, though we will re-run one free if the report looks wrong (see the Terms).
Reports and map layers are built from sources including municipal open data portals, Statistics Canada, OpenStreetMap contributors, transit agency schedule data, and a licensed commercial establishment database. Those sources carry their own terms — OpenStreetMap data, for example, is available under the Open Database Licence and carries its own attribution requirement. Your licence to a Hoodly report does not grant you any rights in the underlying source data beyond what those licences already give you, and it does not let you extract the source data back out of the report.
The public map shows aggregate counts only, never individual venue records, and applies a minimum-count floor so no single business is identifiable from an aggregate cell. Attempting to defeat that floor — by differencing cells, correlating across zoom levels, or any similar technique — is a breach of this licence.
The map and the reports are provided "as is" and "as available", without warranty of any kind, express, implied or statutory. To the maximum extent permitted by law we disclaim the implied warranties of merchantability, fitness for a particular purpose, non-infringement and accuracy. We make no warranty that the data is complete, current or accurate, that a report is fit for any particular purpose, or that any outcome will follow from relying on one. The accuracy caveats in the Terms of Use are part of this licence.
To the maximum extent permitted by law:
These limits apply however the claim arises — contract, tort including negligence, statute or otherwise — and apply even if a limited remedy fails of its essential purpose. This mirrors the limitation in the Terms of Use; the two are intended to be read as one cap, not two, and recovery under one exhausts the other.
You agree to indemnify, defend and hold harmless Hoodly, Wannanap Labs, and their officers, directors, employees and contractors from any claim, demand, loss, liability, damages, cost or expense — including reasonable legal fees — arising out of or connected with your breach of this licence. That includes, in particular, redistributing or reselling a report contrary to the restrictions above, presenting a report as independent research or professional advice to a third party who relies on it, attempting to defeat the aggregation privacy floor, or infringing the rights of any upstream data owner. The notice, defence and settlement mechanics in the Terms of Use apply here too.
Nothing here excludes or limits liability that cannot lawfully be excluded — including for fraud or fraudulent misrepresentation, for death or personal injury caused by negligence, or any non-waivable rights you have under the Consumer Protection Act, 2002 (Ontario) or other consumer-protection legislation. If any limitation is held unenforceable, it applies to the greatest extent permitted and the remainder stays in force.
This licence ends automatically if you materially breach it — most obviously by redistributing reports commercially or by systematically harvesting data. On termination you must stop using and distributing the affected material. Reports already lawfully shared with collaborators before termination may be retained by them for the decision they were shared for. We may also decline future sales.

This licence is governed by the laws of the Province of Ontario, Canada. Disputes will be brought in the courts of Toronto, Ontario.
If this licence changes, the "Last updated" date above changes with it. A licence you already received for a report you already bought continues on the terms in force when you bought it.
